Terms governing Timerise custom booking system development services.

These Timerise Terms & Conditions (“T&C”) govern the engagement between Timerise and the Client for the design, development, and delivery of custom booking systems, as presented at https://timerise.ai. Timerise builds dedicated booking infrastructure: AI-accelerated, delivered as a fixed-price project, and handed over to you with full code and IP ownership.

By submitting a project brief, signing a Statement of Work, or otherwise commissioning Timerise to deliver a custom booking system, you agree to these T&C. If you do not agree, do not commission the Services.

1. Definitions

  • Client, You – an entrepreneur over 18 years of age, or a business entity, that commissions Timerise to deliver a custom booking system in connection with business activity.
  • Services – the design, engineering, AI-accelerated development, migration, deployment, and handover of a custom booking system, together with the agreed post-delivery support.
  • Project – a specific engagement to deliver a custom booking system, scoped in a Statement of Work and delivered for a fixed price.
  • Statement of Work (SoW) – the document, proposal, or architecture blueprint describing the agreed scope, deliverables, timeline, and fixed price of a Project, incorporating these T&C.
  • Booking System – the dedicated booking software, codebase, API, and related assets engineered by Timerise specifically for the Client.
  • Deliverables – the complete source code, infrastructure configuration, data models, and technical documentation produced for the Project.
  • Handover – the transfer of the Deliverables and full IP ownership to the Client upon completion of the Project, including transfer of the repository to the Client’s infrastructure or organization.
  • End-User – the Client’s customer who makes a booking via the Booking System.
  • Booking – a reservation made by an End-User via the Booking System.
  • Timerise Documentation – technical documentation describing the Booking System, its features, and integration methods, delivered as part of the Project.
  • Unlawful Material – content or data that is illegal, infringing, defamatory, hateful, pornographic, or otherwise unlawful.
  • Error – a reproducible defect causing the Booking System to malfunction despite proper use in accordance with the Documentation.

2. Services and Disclaimer

Timerise designs and builds dedicated booking systems, AI-accelerated for speed and owned entirely by the Client. We do not operate a SaaS platform, do not charge per user or per booking, and do not take commissions on the Client’s transaction flow.

The scope, deliverables, timeline, and fixed price of each Project are defined in the applicable Statement of Work. Work begins after the SoW is agreed and the initial payment is received.

The Deliverables are provided as engineered for the agreed scope. Except as required by law or expressly stated in the SoW or these T&C, Timerise disclaims implied warranties and does not guarantee uninterrupted or error-free operation beyond the agreed support terms.

3. Project Engagement and Client Responsibilities

  • You must provide accurate and truthful information necessary to scope and deliver the Project, including business requirements and access to relevant systems.
  • You are responsible for timely review, feedback, and approvals at the milestones defined in the Statement of Work.
  • You are responsible for providing or authorizing the target infrastructure (e.g. AWS, GCP, or your own servers) to which the Booking System is deployed.
  • After Handover, you are responsible for operating, hosting, and securing the Booking System, subject to the post-delivery support set out below.

4. Project Brief and Scoping

Submitting a project brief is free of charge and without obligation. Following a brief, you receive a custom architecture blueprint and a fixed-price proposal. No work is performed and no fees are due until a Statement of Work is mutually agreed.

5. Pricing and Payments

Typically $15,000 – $50,000 (fixed, one-time)

  • Zero transaction fees and no commissions, forever
  • Legacy system migration and deployment to your infrastructure
  • Full white-label setup and custom domains
  • 3 years of post-delivery support included
  • No subscriptions, no recurring license fees, no vendor lock-in

The fixed price is based on the complexity of the Project, not on time spent, and is set out in the Statement of Work. Pricing reflects the build and handover of the system; ongoing hosting and third-party services (e.g. cloud infrastructure, payment processors) are contracted directly by the Client and are not part of Timerise’s fees.

Payments and Invoicing

  • Payment is made in fixed milestones as defined in the Statement of Work.
  • Prices are exclusive of VAT, added per applicable law.
  • Accepted methods: bank transfer, Visa, Mastercard, American Express.
  • Electronic invoices are issued for each milestone.

6. Post-Delivery Support

Every Project includes 3 years of post-delivery support for Errors and issues related to the delivered Booking System, at no additional retainer. Support covers defect resolution as described below; new features or scope changes are handled as a separate engagement.

Response times (Mon–Fri, 9:00–17:00 CET):

  • Severity 1 – Critical: Response within 24h, target resolution 24h.
  • Severity 2 – Significant: Response within 48h, target resolution 5 business days.

7. Client and End-User Obligations

You and your End-Users agree not to use the Booking System to:

  • Harass, abuse, or defame others
  • Post or distribute unlawful, obscene, or infringing content
  • Spread viruses or malicious code
  • Attack, probe, or disrupt third-party systems

8. Intellectual Property and Ownership

Upon completion of the Project and receipt of full payment, Timerise transfers to the Client 100% ownership of the Deliverables, including all source code, infrastructure configuration, data models, and IP rights. There are no licensing restrictions: the Booking System is yours to operate, modify, extend, or resell. Timerise retains no control over, and does not participate in, the Client’s transaction flow.

Prior to full payment, the Deliverables remain the property of Timerise. Timerise may reuse generic, non-Client-specific tooling, libraries, and know-how across Projects.

9. Termination

Either Party may terminate a Project for material breach by the other Party that remains uncured after written notice. On termination, the Client pays for work completed up to the termination date; IP transfers only for milestones that have been paid in full.

10. Liability

Timerise excludes liability for indirect, special, or consequential damages, including lost profits. Timerise’s total liability shall not exceed the fees paid by the Client for the relevant Project.

11. Complaints

Complaints should be sent to hello@timerise.ai. Timerise will respond within 30 days.

12. Personal Data

Both Parties must comply with GDPR. Where Timerise processes personal data on the Client’s behalf during a Project, such processing is governed by the Privacy Policy and Data Processing Agreement. After Handover, the Client is the sole controller of data processed by the Booking System.

13. Final Provisions

These Terms are governed by Polish law.

Any disputes shall be resolved exclusively by the courts of Wrocław, Poland.
